PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE PLAYING ANY OF THE GAMES.
THESE TERMS AND CONDITIONS (THE “TERMS”) ARE A LEGAL CONTRACT BETWEEN “YOU” AND NICE GANG GLOBAL LLC and/or any of its subsidiaries and affiliates (collectively “NICE GANG” “WE”, “OUR”, “US”). Nice Gang LLC is the merchant of record of Nice Gang’s games.
These Terms of Use set out how you are permitted to use our Services, including accessing games developed, operated or published by Nice Gang (“Games”), content, materials, or to any other of our webpages, sites or applications that are connected and operated by Nice Gang, or any other social network and online functionalities that are connected to Nice Gang’s Services, as well as the proper use of materials, content and software developed and created by Nice Gang.
For convenience, each of Nice Gang’s online services shall be referred to as the “Service” or “Services”.
By accessing, downloading or using any of our Services in any way, including accessing the Services through any third-party Platforms (including mobile or web platforms, social networking sites or otherwise); or by clicking on the “I ACCEPT” button, or by completing the registration process for an Account, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND, IN JURISDICTIONS WHERE CONSENT IS REQUIRED FOR NICE GANG TO PROCESS YOUR PERSONAL INFORMATION, YOU CONSENT TO THE COLLECTION, USE, AND STORAGE OF YOUR INFORMATION AS OUTLINED IN NICE GANG’S PRIVACY AND COOKIE POLICY.
IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, OR IF AT ANY TIME THE TERMS ARE NO LONGER ACCEPTABLE TO YOU, YOU MAY NOT USE OR CONTINUE TO USE THE SERVICE.
Eligibility and Registration
You must be at least 16 years of age to use the Service. By accessing and/or using the Service you represent and warrant that you are 16 years of age or older. If you are between the ages of 16 and 18 (or under the legal age of majority in your jurisdiction), you are accessing and/or using the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
We may, in our sole discretion, refuse to offer the Service to any person or entity and change eligibility criteria at any time. You are solely responsible for ensuring that these Terms are in compliance with all laws, rules and regulations applicable to you and the right to access the Service is revoked where these Terms or use of the Service is prohibited or to the extent offering, sale or provision of the Service conflicts with any applicable law, rule or regulation.
User Account
In order to access or use some (or potentially all) of the Services, you may be required to create an Account with us. When you register for an Account, you may be required to provide us with some information about yourself (such as your email address or other contact information, date of birth, etc.). You may also be required to select a unique username and password. You agree to provide accurate, current and complete information during registration and to update such information to keep it accurate, current and complete.
Your account is personal to you. You are responsible for maintaining the confidentiality of your account information and password and for restricting access to your computer and account. You agree to accept responsibility for all activities that occur under your account or password.
Virtual Items
Within some of our Services, you may be able to purchase virtual, in-game currency (“Coins” or “Game Currency”) and virtual, in-game items (“Virtual Items”). Coins and Virtual Items can never be redeemed for real money, goods, or other items of monetary value from Nice Gang or any other party. You understand that you have no right or title in the Virtual Items or Game Currency appearing in the Services, and the transfer of Game Currency and/or Virtual Items is prohibited except where expressly authorized in the Services.
Nice Gang retains the right to manage, regulate, control, modify, suspend, or eliminate Game Currency and/or Virtual Items at its sole discretion, and Nice Gang shall have no liability to you or anyone for the exercise of such rights.
User Content
You may have the option to post or contribute content to our Service. You are solely responsible for the content you post and any content you contribute to the Service. You agree not to post or contribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, or otherwise objectionable.
By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, publish, and process that content for purposes of providing the Service.
Intellectual Property
All rights, title, and interest in and to the Service (including without limitation any games, titles, computer code, themes, objects, characters, character names, stories, dialogue, catch phrases, concepts, artwork, animations, sounds, musical compositions, audio-visual effects, methods of operation, moral rights, documentation, in-game chat transcripts, character profile information, recordings of games played using a Nice Gang game client, and the Nice Gang game clients and server software) are owned by Nice Gang. Nice Gang reserves all rights, including without limitation, all intellectual property rights or other proprietary rights, in connection with its games and the Service.
Termination
Without limiting any other remedies, Nice Gang may limit, suspend, terminate, modify, or delete accounts or access to the Service or portions thereof if you are, or Nice Gang suspects that you are, failing to comply with any of these Terms or for any actual or suspected illegal or improper use of the Service, with or without notice to you.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NICE GANG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law.
